Microsoft is now weighing legal action against Amazon and OpenAI over a $50 billion cloud deal that could undermine its exclusive partnership with the ChatGPT maker. At the heart of the clash are the two technical terms: ‘stateful’ and ‘stateless’. According to a report by Financial Times, under Microsoft’s agreement with OpenAI, all access to the startup’s models must be routed through Azure, a deal that has driven record cloud revenues. However, Amazon and OpenAI are developing a system called a Stateful Runtime Environment (SRE) on AWS’s Bedrock platform. This system would enable OpenAI’s new product, Frontier, to run with memory and context essentially ‘stateful’ access and on the other hand Microsoft insists that the contract needs even these interactions to go through Azure.
Microsoft’s dispute with Amazon and OpenAI
As per the FT report, the executives at Microsoft are of the opinion that ion that Amazon’s workaround is not technically feasible and that it violates the spirit of the agreement. “We know our contract. We will sue them if they breach it,” a person familiar with Microsoft’s stance told the Financial Times.
OpenAI and Amazon’s defense
OpenAI on the other hand maintains a stand that its deal with Amazon does not offer any backdoor aces to its stateless models, which retain no memory between user interactions. The company also said that it has the right to build new products with third parties as long as they are not primarily offered as APIs. Meanwhile, Amazon has instructed its staff to desceibe the SRE carefully saying it “integrates with” or is “powered by” OpenAI, but avoiding language that suggests direct access to ChatGPT.The dispute now highlights the increasing tension between Microsoft and OpenAI, as the start-up seeks to diversify cloud partnerships while its largest backer increasingly views it as a competitor. The conflict also comes at a sensitive time: OpenAI is preparing for a potential IPO, fresh off a $110 billion funding round, while already facing a lawsuit from Elon Musk.Whether Frontier counts as “stateful” or “stateless” access could determine if Amazon and OpenAI’s partnership breaches Microsoft’s contract. The outcome may reshape cloud alliances in the AI industry and decide whether Microsoft takes its rivals to court.
